Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of urbanumbrella.com (the "Site") and any products, services, quotes, designs, or installations provided by Urban Umbrella ("we," "our," or "us").

By accessing the Site, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

Use of the Site

You may use the Site for lawful business purposes only. When using the Site, you agree not to:

Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written permission.
Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with another party's use.
Attempt to gain unauthorized access to any portion of the Site, accounts, or systems connected to it.
Upload viruses, worms, or any malicious or destructive code.
Use the Site to violate any applicable law, regulation, or third-party right.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

All content on the Site — including text, graphics, photographs, renderings, and engineering documents — is provided for informational purposes and is subject to change without notice.

Intellectual Property

All intellectual property associated with the Urban Umbrella system is owned exclusively by us, including but not limited to:

Patented modular scaffolding designs, joints, and structural components.
All renderings, drawings, engineering documents, and PE-stamped submittals.
The Urban Umbrella name, logo, and word mark.
Photography, video, and case-study content showing our installations.
Software, code, and user interfaces appearing on the Site.
Trade secrets relating to manufacturing, fabrication, and field assembly.
Trademarks, service marks, and trade dress in any jurisdiction.
All derivative works, modifications, and adaptations of the foregoing.

No content on the Site may be copied, distributed, or reproduced without our prior written consent. Receiving a quote or rendering does not transfer any rights — all materials remain our property until a written agreement states otherwise.

Quotes, Orders & Payment

Quotes provided through the Site or directly by our team are valid for thirty (30) days unless otherwise stated in writing.

All quotes are based on the information provided at the time of inquiry. Material site conditions, scope changes, permit delays, or regulatory requirements discovered after a quote is issued may result in price adjustments, communicated in writing.

Orders are accepted only upon execution of a written agreement signed by both parties. Verbal commitments are not binding.

Unless otherwise agreed in writing, payment terms are net thirty (30) days from invoice date. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

Deposits, where required, are non-refundable once design or fabrication work has commenced.

Project Execution & Site Conditions

Our scaffolding system is installed by us or our authorized partners. The customer is responsible for ensuring safe site access, accurate site dimensions, and timely procurement of any permits, approvals, or insurance riders required by local authorities. We will not begin installation if site conditions present an unsafe or non-code-compliant environment.

Once installed, the customer agrees not to modify, alter, or add load to the system without our written approval. Any unauthorized modification voids all warranties and may create a safety hazard for which Urban Umbrella accepts no liability.

Warranties & Disclaimers

Urban Umbrella warrants that all delivered systems meet the structural specifications and load ratings stated in their PE-stamped engineering submittals when installed and operated as directed. This warranty extends only to the original customer named in the written agreement and is non-transferable.

Except for the limited warranty above, the Site, all materials on it, and all products and services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by applicable law, we disclaim all such warranties.

Limitation of Liability

To the fullest extent permitted by law, Urban Umbrella and its officers, employees, partners, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, business interruption, or loss of data — arising out of or in connection with your use of the Site, our products, or our services, even if we have been advised of the possibility of such damages. In no event shall our total aggregate liability exceed the amount paid by the customer for the specific product or service giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Urban Umbrella and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your breach of these Terms or any representations you have made to us.
Your violation of any applicable law, regulation, or third-party right.
Site conditions, permits, or approvals that were your responsibility to secure.
Any unauthorized modification, alteration, or misuse of our system after installation.

This indemnification obligation survives termination of any agreement between us.

Confidentiality

Both parties agree to keep confidential any non-public technical, commercial, or strategic information disclosed during the course of doing business — including pricing, engineering details, project plans, and customer lists. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

Termination

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Termination of any specific project agreement is governed by the terms of that written agreement. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law survive termination.

Third-Party Materials & Links

The Site may contain links to third-party websites or reference third-party materials. We provide these for convenience only and do not endorse, sponsor, or assume responsibility for their content, privacy practices, or accuracy. Your use of any third-party site or material is at your own risk.

Changes to These Terms

We may update these Terms at any time by posting the revised version on the Site. The "Last Updated" date below reflects the latest revision. Continued use of the Site, or continued engagement of our services, after changes are posted constitutes your acceptance of the updated Terms.
